Terms of Service

1. About These Terms
These Terms of Service ("Terms") govern your access to and use of QuickBill ("the Service"), operated by Cloud Pi Consulting Ltd (trading as QuickBill), a company registered in England and Wales (Company No. 12260282). References to "we", "us", or "our" mean Cloud Pi Consulting Ltd. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
2. Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service. By registering, you confirm you meet these requirements. The Service is intended for business use by UK-based freelancers and small businesses.
3. Your Account
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us immediately if you suspect unauthorised access.
- You may not share your account with third parties or create accounts on behalf of others without authorisation.
- We reserve the right to suspend or terminate accounts that violate these Terms.
4. Subscription Plans, Billing & Cancellation
QuickBill offers free and paid subscription plans. By subscribing to a paid plan, you authorise us to charge your payment method via Stripe on a recurring monthly basis.
- Free (Starter) plan: Limited to 1 invoice per month. No payment required.
- Pro plan: £7.99/month (inclusive of VAT where applicable). Unlimited invoices in GBP.
- Business plan: £14.99/month (inclusive of VAT where applicable). Unlimited invoices, multi-currency, custom branding.
Cancellation & downgrades
- You may cancel or downgrade your subscription at any time — there is no minimum contract period.
- Cancellation takes effect at the end of your current billing period. You retain full access until that date.
- To cancel, go to Settings → Billing → Manage / Cancel Subscription.
- We do not offer prorated refunds for partial billing periods already paid.
Price changes
- We will give at least 30 days' written notice by email before any price increase takes effect.
- If you do not wish to continue at the new price, you may cancel before the change takes effect with no penalty.
- Continued use of the Service after the notice period constitutes acceptance of the new price.
All prices are in GBP. We are not liable for foreign transaction fees charged by your bank or card issuer.
5. Acceptable Use
You agree not to use the Service to:
- Send fraudulent, misleading, or deceptive invoices
- Violate any applicable law or regulation, including consumer protection, anti-money laundering, or sanctions laws
- Harass, threaten, or abuse any person via invoice emails or reminders
- Attempt to gain unauthorised access to our systems or other users' data
- Upload malicious code, viruses, or harmful content
- Resell or sublicense access to the Service without our prior written consent
- Use the Service for any purpose other than legitimate business invoicing
6. Your Content & Data
You retain ownership of all data you enter into the Service (invoices, client data, business information). You grant us a limited licence to store, process, and transmit your data solely for the purpose of providing the Service.
You are responsible for the accuracy of your invoices and for ensuring you have the right to process your clients' personal data. See our Privacy Policy for details of how we handle data.
7. Data Processing Agreement (DPA)
To the extent you use QuickBill to process personal data of your clients (e.g., names and email addresses) on your behalf, you act as the data controller and we act as your data processor under UK GDPR.
As your data processor, we agree to:
- Process personal data only on your documented instructions
- Ensure persons authorised to process the data are bound by confidentiality obligations
- Implement appropriate technical and organisational security measures
- Not engage sub-processors without your general authorisation (our current sub-processors are listed in the Privacy Policy)
- Assist you in responding to data subject rights requests
- Delete or return all personal data on termination of the service
- Provide all information necessary to demonstrate compliance with UK GDPR Article 28
This DPA is incorporated into and forms part of these Terms. By using the Service, you agree to this DPA.
8. Intellectual Property
The QuickBill name, logo, software, and design are our intellectual property. Nothing in these Terms grants you any right to use our trademarks or intellectual property other than as strictly necessary to use the Service.
9. Service Availability
We aim for high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance with or without notice. We are not liable for any loss resulting from service downtime or unavailability.
10. Limitation of Liability
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind, express or implied
- We are not liable for any indirect, incidental, consequential, or punitive damages
- Our total liability to you for any claim shall not exceed the amount you paid us in the 12 months prior to the claim
- Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law
11. Termination
You may close your account at any time via Settings → Privacy → Delete Account. This permanently deletes all your data and cannot be undone.
We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if we are required to do so by law. Upon termination, your right to use the Service ceases immediately.
12. Changes to the Service or Terms
We may modify these Terms or the Service at any time. We will provide at least 30 days' notice of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance.
